Terms of Service

Introduction

Last updated: June 15, 2026. This Agreement is between Customer and Flow Circuits, Inc., doing business as HVAKR. “Customer” means the entity on behalf of which this Agreement is accepted or, if that does not apply, the individual accepting this Agreement.

If you (the person accepting this Agreement) are accepting this Agreement on behalf of your employer or another entity, you agree that: (i) you have full legal authority to bind your employer or such entity to this Agreement, and (ii) you agree to this Agreement on behalf of your employer or such entity.

Use of HVAKR

You agree to use HVAKR only for lawful purposes and in accordance with these Terms of Service. You agree not to use HVAKR in any way that violates any applicable federal, state, local, or international law or regulation.

License to Use HVAKR

Subject to your compliance with this Agreement and payment of applicable fees, Flow Circuits, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use HVAKR for your internal business purposes during your subscription term. HVAKR is provided as a hosted, cloud-based service; no copy of the software is sold or delivered to you, and all rights not expressly granted are reserved by Flow Circuits, Inc. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service, except to the extent such restriction is prohibited by applicable law.

Limitation of Liability

Flow Circuits, Inc. does not accept liability for the results provided by the software. The user is responsible for verifying the accuracy of the results using their own engineering knowledge and expertise. Flow Circuits, Inc. makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the software or the information, products, services, or related graphics contained in the software for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event will Flow Circuits, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Flow Circuits, Inc.'s total aggregate liability arising out of or relating to this Agreement will not exceed the amounts you paid to Flow Circuits, Inc. for the Service in the twelve (12) months preceding the event giving rise to the claim.

Intellectual Property

The HVAKR software and website, and all content contained therein, including but not limited to text, images, and code, is the property of Flow Circuits, Inc. and is protected by copyright and trademark laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the HVAKR software or website without express written permission from Flow Circuits, Inc.

Your Data and Ownership

As between you and Flow Circuits, Inc., you retain all right, title, and interest in the project data, designs, drawings, and other content you create or upload to HVAKR ("Customer Data"). You grant Flow Circuits, Inc. a limited license to host, process, and use Customer Data solely to provide and improve the Service and as otherwise permitted under our Privacy Policy. We do not claim ownership of your Customer Data, and we will not use the contents of your engineering projects to train AI models. Upon termination, you may export your Customer Data, and we will delete it in accordance with our Privacy Policy and applicable law.

Fulfillment

  1. Access and Delivery: Upon successful payment, users receive immediate access to HVAKR via their registered account. A confirmation email is sent when the subscription becomes active. For enterprise accounts, activation may take up to one business day.
  2. Billing and Subscription: HVAKR offers both monthly and annual subscription options, with automatic renewals unless canceled before the end of the billing cycle. Users can manage their subscriptions, including upgrades, downgrades, or cancellations, through their account settings at app.hvakr.com/settings/subscription.
  3. Customer Support: Customer support is available via email at support@hvakr.com. Our typical response time is within one business day, with no specific support hours.
  4. Refund and Cancellation: HVAKR offers refunds within seven days of purchase. For details on managing subscriptions or requesting a refund, please contact support@hvakr.com.

Use of Company Logos

Upon signing up for HVAKR with a verified company email address, you grant us the non-exclusive, royalty-free right to use your company's logo on our website and in our marketing materials. This is to signify your company as a user of our service. The specifics are as follows:

  1. Scope of Use: The company logo may be used solely in the context of indicating your company as a user of HVAKR. This may include display on our website, in promotional materials, and in other marketing communications.
  2. Logo Acquisition: We will obtain the logo either directly from the publicly available resources (e.g., your company website) or upon your provision.
  3. Opt-Out: You retain the right to revoke this permission at any time. To opt out, please send a written request to support@hvakr.com. Upon receiving such a request, we will remove your company's logo from our website and cease its use in new marketing materials as soon as reasonably practicable.
  4. No Endorsement Implied: The use of your company's logo does not imply any endorsement of our products or services by your company.
  5. Compliance with Brand Guidelines: We will respect any brand guidelines you provide in relation to the use of your logo and will cease or modify the use if it is not in compliance with such guidelines.
  6. No Misrepresentation: We commit to not misrepresenting or creating any false endorsement or affiliation between our companies.

Data Use

Some users come to HVAKR through a referral or channel partner — for example, an industry association, program, or reseller through which you signed up or received access. Where that is the case, we may share limited account information with that specific partner so that we can administer the relationship and communicate openly with them about your use of HVAKR. This sharing is subject to the following conditions:

  1. Type of Information Shared: Limited account information, such as your name, email address, organization, and account or subscription status. We do not share the contents of your engineering projects (Customer Data).
  2. Purpose of Sharing: To administer and support the referral or partner relationship through which you came to HVAKR — for example, confirming your enrollment, eligibility, or status with that partner. We do not sell your information, and we do not share it for third-party marketing.
  3. Scope: This applies only where you reached HVAKR through such a partner, and only with that partner. It does not apply to business or enterprise customers, whose Personal Data we process solely as described in our Data Processing Agreement, with no sharing of data for sales or marketing.
  4. Opt-Out Options: You may opt out of this information sharing at any time, free of charge and without affecting your account, by emailing support@hvakr.com.
  5. Protection of User Data: Partners with whom we share information are bound by confidentiality obligations to protect it.
  6. Compliance with Laws: All such sharing is conducted in compliance with applicable data protection and privacy laws.

This Data Use policy reflects our commitment to transparency and user choice while maintaining the integrity and privacy of user data.

Confidentiality

Each party may have access to non-public information of the other party in connection with this Agreement ("Confidential Information"). Each party agrees to use the other's Confidential Information only as necessary to perform under this Agreement and to protect it using at least reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party before disclosure, or is independently developed without use of the disclosing party's Confidential Information.

Term and Termination

This Agreement remains in effect for the duration of your subscription term. Either party may terminate this Agreement for material breach if the breach remains uncured 30 days after written notice. You may cancel your subscription at any time, effective at the end of your current billing cycle. We may suspend or terminate your access for non-payment or violation of this Agreement. Upon termination, you may export your Customer Data during a reasonable export window, after which we will delete it in accordance with our Privacy Policy and applicable law. Provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

Indemnification

You agree to indemnify and hold harmless Flow Circuits, Inc. from any claims, damages, or expenses arising out of your misuse of the Service or your violation of this Agreement or applicable law. Subject to the Limitation of Liability section above, Flow Circuits, Inc. will defend you against third-party claims alleging that your authorized use of the Service, as provided by us and used in accordance with this Agreement, directly infringes that third party's intellectual property rights, and will pay damages finally awarded against you (or agreed by Flow Circuits, Inc. in settlement) that are attributable to such claim, provided you give us prompt written notice of the claim, sole control over its defense and settlement, and reasonable cooperation. Flow Circuits, Inc. will have no obligation under this section to the extent a claim arises from: (a) your modification of the Service or use of any version other than a current, unaltered release; (b) combination, operation, or use of the Service with software, hardware, data, or other materials not provided by Flow Circuits, Inc.; (c) use of the Service not in accordance with this Agreement or the documentation; (d) Customer Data or other content you provide; or (e) your continued allegedly infringing activity after being notified of the claim or after being provided a modification that would have avoided the alleged infringement. If the Service becomes, or in Flow Circuits, Inc.'s opinion is likely to become, the subject of an infringement claim, Flow Circuits, Inc. may at its option and expense (i) procure the right for you to continue using the Service, (ii) modify or replace it so that it becomes non-infringing, or (iii) terminate your subscription and refund any prepaid fees for the unused portion of the then-current term. This section states your sole and exclusive remedy, and Flow Circuits, Inc.'s entire liability, for any claim of intellectual property infringement.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute informally and in good faith. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in California, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

Data Processing Agreement

For business customers subject to the UK or EU General Data Protection Regulation (GDPR), our Data Processing Agreement (DPA) governs our processing of personal data on your behalf and is incorporated into this Agreement by reference. You may request a signed copy of our DPA by emailing support@hvakr.com.

Changes to the Terms of Service

Flow Circuits, Inc. reserves the right to modify these Terms of Service at any time. Your continued use of the HVAKR software or website following any changes to these Terms of Service will constitute your acceptance of such changes.
